Last Updated: October 17, 2026
A little clarity goes a long way.
Good working relationships begin with clear expectations. These Terms explain the ground rules for using Footnote's website, so you know what to expect.
Accepting these Terms
Please read these Terms of Use ("Terms") carefully before using footnotebookkeeping.com and its subdomains (collectively, the "Website"), operated by Footnote Bookkeeping LLC, a Georgia limited liability company ("Footnote").
By accessing or using the Website, you agree to these Terms. If you do not agree to them, please do not use the Website.
No Professional-Client Relationship
Visiting the Website, submitting an inquiry, scheduling a consultation, or communicating with Footnote does not establish a professional bookkeeping relationship. A client relationship begins only when Footnote and the client have entered into a written agreement for professional services.
Privacy
Your use of the Website is also subject to Footnote's Privacy Policy, which explains how we collect, use, and protect your information.
Children Under 18
The Website is intended for adults age 18 and older. If you are under 18, you may not use the Website or submit information through its forms.
Electronic Communications
When you communicate with Footnote electronically, including by email or through the Website, you consent to receive electronic responses and communications relating to your inquiry or interaction. To the extent permitted by applicable law, communications provided electronically may satisfy requirements that they be in writing. This provision does not constitute consent to receive marketing emails, which are governed by the subscription and unsubscribe practices described in our Privacy Policy.
Links to Third Party Websites
The Website may include links to third-party websites that Footnote does not control. These links are provided for your convenience. Footnote is not responsible for the content of those websites, and including a link does not imply that Footnote endorses the website or is associated with its operators.
Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use the Website in strict accordance with these Terms. Content on the Website is owned by Footnote or used with permission from its respective owners and is protected by applicable intellectual property laws. You agree not to modify, publish, transmit, reverse engineer, or create derivative works from content found on the Website without Footnote's prior written permission. You acknowledge that you do not have and will not acquire any ownership rights in any protected content, and that Footnote does not grant you any licenses, express or implied, to the intellectual property of Footnote except as expressly authorized by these Terms.
Acceptable Use
You agree not to use the Website or its forms to submit spam, malicious software, unlawful material, or content intended to interfere with the Website or its services. You also agree not to attempt unauthorized access to the Website or its connected systems.
Indemnification
You agree to indemnify, defend, and hold harmless Footnote and its members, employees, agents, and representatives, as applicable, from losses, costs, liabilities, and expenses arising out of your violation of these Terms or unlawful use of the Website, to the extent permitted by applicable law.
Dispute Resolution
If a dispute arises concerning these Terms or use of the Website, you and Footnote agree to first attempt to resolve the dispute through good-faith discussions. If the dispute cannot be resolved, either party may pursue available legal remedies, subject to applicable law.
These Terms do not modify any dispute-resolution provisions contained in a separate written agreement between you and Footnote.
Limitation of Liability
THE INFORMATION AND CONTENT ON THIS WEBSITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. FOOTNOTE MAY MAKE PERIODIC CHANGES AT ANY TIME. FOOTNOTE MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, TIMELINESS, OR ACCURACY OF THE INFORMATION ON THE WEBSITE. THE WEBSITE AND ITS GENERAL CONTENT ARE PROVIDED FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. PROFESSIONAL BOOKKEEPING SERVICES ARE PROVIDED ONLY UNDER A SEPARATE WRITTEN AGREEMENT BETWEEN FOOTNOTE AND THE CLIENT. WEBSITE CONTENT DOES NOT CONSTITUTE BOOKKEEPING, FINANCIAL, LEGAL, OR TAX ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOOTNOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE WEBSITE OR YOUR RELIANCE ON INFORMATION PROVIDED THROUGH THE WEBSITE. NOTHING IN THIS SECTION LIMITS OR MODIFIES THE LIABILITY PROVISIONS OF ANY SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND FOOTNOTE FOR PROFESSIONAL SERVICES.
International Users
Footnote is owned and operated in the United States. If you access the Website from outside the United States, you are responsible for compliance with applicable local laws.
Access Restriction
Footnote reserves the right, in its sole discretion, to terminate your access to the Website at any time without notice.
Governing Law
These Terms are governed by the laws of Georgia without regard to its conflict of law rules, and the laws of the United States of America.
Entire Agreement
These Terms constitute the entire agreement between you and Footnote concerning use of the Website and supersede all prior or contemporaneous communications concerning that use. These Terms do not replace or modify any separate written agreement between you and Footnote for bookkeeping or other professional services.
Severability
If any part of these Terms is determined to be invalid or unenforceable, the rest of these Terms shall still be enforceable and the portion deemed invalid will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.
Changes to Terms
Footnote may update these Terms from time to time. The current version will be posted on this page and will replace previous versions. Please review this page periodically for updates.
